XPO Logistics, Inc. (“XPO” or the “Company”) intends to refinance all term loans outstanding under its existing term loan credit agreement with new term loans issued under such agreement, subject to certain customary conditions. The terms of the new term loans (the “Refinancing Term Loan Facility”) are expected to be substantially similar to those relating to the existing loans outstanding under the Company’s existing term loan credit agreement, except with respect to the interest rate and maturity date applicable to the Company’s borrowings under the Refinancing Term Loan Facility, prepayment premiums in connection with certain voluntary prepayments and certain other amendments.
