Item 5.07 Submission of Matters to a Vote of Security Holders

Xplore Technologies Corp. (the “Company”) held its 2016 Annual
Meeting of Stockholders (the “Annual Meeting”) on March 21,
2017. At the Annual Meeting, the Company’s stockholders voted on
four matters. The Company’s stockholders (i) approved the
election of Donald F. Neville, Thomas B. Pickens III, Kent A.
Misemer, Brian E. Usher-Jones, Philip S. Sassower, and Andrea
Goren to the Company’s board of directors, (ii) ratified the
appointment of PMB Helin Donovan, LLP as the Company’s
independent registered public accounting firm for the fiscal year
ending March 31, 2017, (iii) ratified a stockholder rights plan
designed to protect the tax benefits of our net operating loss
carryforwards and certain other tax assets, and (iv) approved a
non-binding advisory proposal regarding the Company’s executive
compensation.
As of the close of business on January 20, 2017, the record date
for the Annual Meeting, there were 10,991,172 shares of the
Company’s common stock issued and outstanding and entitled to
vote at the Annual Meeting. The presence, in person or by proxy,
of the holders of record of capital stock representing a majority
of the votes entitled to be cast at the Annual Meeting
constitutes a quorum. At the Annual Meeting, holders of a total
of 8,584,132 (78.10%) shares of the Company’s common stock were
present, in person or by proxy. The tables below set forth
information regarding the results of the voting at the Annual
Meeting.
