On December 18, 2018, the Registrant issued a news release (the “Dividend Release”) reporting that the Board of Directors of the Registrant had declared a quarterly cash dividend of $0.23 per share in respect of the Registrant’s common shares.The dividend was declared on December 18, 2018 and is payable on March 29, 2019 to shareholders of the Registrant of record at the close of business on March 15, 2019.A copy of the Dividend Release is included with this Current Report on Form8‑K as Exhibit99.2 and incorporated herein by reference.

Worthington Industries, Inc. is a metals manufacturing company, focused on value-added steel processing and manufactured metal products. The Company’s segments include Steel Processing, Pressure Cylinders, Engineered Cabs and Other. The Steel Processing segment buys coils of steel from integrated steel mills and mini-mills, and also toll processes steel for steel mills, end users, service centers and other processors. The Pressure Cylinders segment manufactures and sells filled and unfilled pressure cylinders, tanks, hand torches, and oil and gas equipment along with various accessories and related products for end use market applications.
