held its annual meeting of shareholders. The matters voted upon

Proposal 1: Election of Directors
The shareholders elected all of the Companys nominees for
director for one-year terms expiring on the date of the annual
meeting in 2018 or until their successors are duly elected and
qualified.

Based upon the results of the advisory vote on the frequency of
future advisory votes on executive compensation set forth above,
and consistent with its recommendation, the Companys board of
directors has determined that future advisory votes on executive
compensation will be submitted to shareholders on an annual basis
until the next required vote on the frequency of such votes.
Proposal 4: Ratification of Appointment of Independent
Registered Certified Public Accounting Firm
The shareholders ratified the appointment of
PricewaterhouseCoopers LLP as the Companys independent
registered certified public accounting firm for the 2017 fiscal
year.

Item 7.01. Regulation FD Disclosure
The Company announced today that its board of directors has
declared a quarterly cash dividend of $0.06 per share payable
on July 7, 2017 to shareholders of record on June 9, 2017. A
