WHITE MOUNTAINS INSURANCE GROUP, LTD. (NYSE:WTM) Files An 8-K Submission of Matters to a Vote of Security Holders
Item 5.07 of the Current Report on Form 8-K filed by White Mountains Insurance Group, Ltd. (the “Company”) with the Securities and Exchange Commission on May 31, 2017 (the “Original Filing”). The sole purpose of this amendment is to disclose the Company’s decision regarding how often it will conduct advisory shareholder votes on executive compensation (“say-on-pay”). No other changes have been made to the Original Filing.

ITEM 5.07 Submission of Matters to a Vote of Security Holders.

At the time of the Original Filing, the Company’s Board of Directors had not yet determined the frequency with which say-on-pay votes would be held in the future. In light of the voting results with respect to the frequency of say-on-pay votes, the Company’s Board of Directors has decided that the Company will hold an annual non-binding say-on-pay vote until the next vote on the frequency of say-on-pay votes occurs.
