Other Events.

On January 31, 2017, the Board of Directors of Western New
England Bancorp, Inc. (the Company), the holding company for
Westfield Bank, announced the authorization of a stock repurchase
program, under which the Company may repurchase up to 3,047,000
shares, or 10%, of its outstanding common stock.

On February 17, 2017, the Company entered into an agreement with
Griffin Financial Group, LLC to repurchase up to 3,047,000 shares
of the Companys common stock, $0.01 par value per share, to its
stock repurchase program (10b5-1 Plan). to the 10b5-1 Plan, a
maximum of 3,047,000 shares may be purchased beginning March 20,
2017 until the 10b5-1 Plan expires on March 19, 2018.
