Other Events.

On January 6, 2017, Western Digital Corporation (the Company)
issued a press release announcing the commencement by the Company
of an exchange offer for all of its outstanding 10.500% Senior
Notes due 2024, which are not registered under the Securities Act
of 1933, as amended (the Securities Act), for an equal principal
amount of its 10.500% Senior Notes due 2024, which have been
registered under the Securities Act. The exchange offer will
commence on January6, 2017 and expire at 5:00 p.m., New York City
time, on February6, 2017.

The press release announcing the commencement of the exchange
offer is filed herewith as Exhibit 99.1, and is incorporated by
reference herein.
