(b) On February 28, 2017, Susan E. Engel, a member of the Board
of Directors (the Board) of Wells Fargo Company (the Company),
informed the Company that she will not stand for re-election and
will retire as a member of the Board at the Companys upcoming
Annual Meeting of Stockholders scheduled to be held on April 25,
2017.

On March 1, 2017, the Company announced certain compensation
actions taken by the Board affecting members of the Companys
Operating Committee. The Companys news release announcing these
actions is attached to this report as Exhibit 99.1 and is
incorporated by reference into this Item 8.01.
