On April 27, 2017,Vista Gold Corp. (the Corporation)held its
annual general meeting of shareholders at Suite 1200, 200 Burrard
Street, Vancouver, British Columbia, at 10:00 a.m. (Vancouver
time). Shareholders representing 60,333,702shares or 61.58% of
the shares authorized to vote (97,976,122) were present in person
or by proxy, representing a quorum for the purposes of the annual
general meeting.The shareholders approved the following:

All nominees for election to the Corporations Board of
Directorswere elected to the Board of Directors and will serve
until the Corporations 2018 annual meeting of shareholders or
until successors are duly elected and qualified. The proposal to
ratify the appointment ofEKSH LLLP as the Corporations
Independent Registered Public Accounting Firm for the 2017 fiscal
year was approved.The resolution to approve, on an advisory
basis, the compensation of the Corporations Named Executive
Officers as presented in the Corporations proxy statement, was
approved.In relation to the resolution to determine, on an
advisory basis, the frequency of the advisory vote on executive
compensation, one year is the frequency that received the most
votes of the shareholders and therefore was adopted as the
advisory vote of the shareholders.

Frequency of Advisory Vote on Executive Compensation

The Board of Directors, in considering the shareholders advisory
vote on the frequency of the advisory vote on executive
compensation of one year, has determined that the Corporation
will hold an advisory vote on executive compensation every year
until the next required advisory vote on the frequency of such
advisory votes, or until the Board of Directors otherwise
determines that a different frequency for such votes is in the
best interests of the Corporations shareholders.

On April 27, 2017, the Registrant issued a press release
announcing the voting results from its Annual General Meeting
of shareholders held on Thursday, April 27, 2017 in Vancouver,
British Columbia.
