Item 8.01Other Events.

On December 7, 2017, Village Bank and Trust Financial Corp. (the “Company”) announced that George Karousos, President of Village Bank Mortgage Corporation (“VBMC”), will be leaving his position with VBMC to pursue other interests. VBMC is a wholly owned subsidiary of Village Bank, which is a wholly owned subsidiary of the Company. On December 11, 2017, the Company announced that Clif Winn, a long-time member of VBMC’s executive management, had assumed the duties of President of VBMC effective on that date.
