Submission of Matters to a Vote of Security Holders.

The Company held its Annual Meeting of Shareholders on April 27,
2017. On the record date of February 27, 2017, there were
263,833,405 of the Companys shares of common stock outstanding. A
total of 229,973,848 of the Companys shares were present or
represented by proxy at the meeting. The Companys shareholders
took the following actions:

Proposal #1>- Voted on the election of 12 persons, named in
the Proxy Statement, to serve as directors of the Company for the
ensuing year constituting the entire Board of Directors. The
following is a list of directors elected at the Annual Meeting
with the number of votes For, Against, “Abstain” and Broker
“Non-Votes”.

Proposal #2> Ratified the appointment of KPMG LLP as the
Companys independent registered public accounting firm for the
fiscal year ending December 31, 2017.

Proposal #3>- Approved, on a non-binding basis, the
compensation of the Companys named executive officers as

Proposal #4>- Voted, on a non-binding basis, in favor of
holding an advisory vote on executive compensation once every
year.

In light of the outcome of the vote on the frequency of future
advisory votes on the compensation of the Companys named
executive officers, the Company has made the determination to
continue to hold the advisory vote on the compensation of the
Companys named executive officers on an annual basis until the
next required vote on the frequency of such votes. Accordingly,
the next shareholder advisory vote on executive compensation will
be held at the Companys 2018 Annual Meeting of Shareholders.

Proposal #5>- Approved the amendment to the restated
certificate of incorporation of Valley National Bancorp to
increase the number of authorized shares of common and preferred
stock.
