(b) On July 24, 2018, Mary J. Steele Guilfoile, a member of the Board of Directors (“Board”) of Valley National Bancorp (the “Company”) since 2003, communicated to the Board that she was resigning from the Board. Ms. Guilfoile, who serves on other public company boards and was newly elected to another public company board, made her resignation immediately effective. Chairman Gerald Lipkin thanked her for her service. Ms. Guilfoile’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
