On March 6, 2017, the Compensation Committee of the Board of Directors of Upland Software, Inc. (the “Company”), after consultation with an external executive compensation firm, and in recognition of the Company’s performance during 2016, approved an increase of $85,000 resulting in a total annual base salary of $325,000 for Mr. John T. McDonald, an increase of $85,000 resulting in a total annual base salary of $325,000 for Mr. Timothy Mattox, and an increase of $70,000 resulting in a total annual base salary of $270,000 for Mr. Michael D. Hill. The increases are effective as of January 1, 2017.
