Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with Mr.Laderman’s election as acting CFO, he will receive an additional cash payment of $50,000 per month, effective as of May16, 2018, and continuing for the duration of his service as acting CFO. The Compensation Committee of the Board of Directors of the Company approved the compensation arrangement for Mr.Laderman on May24, 2018.
