Item1.01. Entry into a Material Definitive Agreement.

On May23, 2017, Tyson Foods, Inc. (the Company) entered into an
underwriting agreement (the Underwriting Agreement) with Morgan
Stanley Co. LLC, J.P. Morgan Securities LLC and Merrill Lynch,
Pierce, Fenner Smith Incorporated, for themselves and as
representatives of the several underwriters named therein, in
connection with the Companys previously announced public
offerings and sale of $300,000,000 aggregate principal amount of
Floating Rate Senior Notes due 2019, $350,000,000 aggregate
principal amount of Floating Rate Senior Notes due 2020,
$1,350,000,000 aggregate principal amount of 3.550% Senior Notes
due 2027 and $750,000,000 aggregate principal amount of 4.550%
Senior Notes due 2047 (collectively, the Notes). The sale of the
Notes will be made to the Companys Registration Statement on Form
S-3 (Registration No.333-217775), including the prospectus
supplements dated May23, 2017 to the prospectus contained therein
dated May8, 2017, filed by the Company with the Securities and
Exchange Commission, to Rule 424(b)(5) under the Securities Act
of 1933, as amended.

The sale of the Notes is expected to close on June2, 2017,
subject to the satisfaction of the closing conditions set forth
in the Underwriting Agreement.

The Underwriting Agreement contains customary representations,
warranties and covenants and includes the terms and conditions
for the sale of the Notes, indemnification and contribution
obligations and other terms and conditions customary in
agreements of this type.

entirety by, the full text of the Underwriting Agreement, which
is attached hereto as Exhibit 1.1.
