Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers: Compensatory Arrangements of Certain Officers.

On September 12, 2020, to the Company’s bylaws, the Company’s Board of Directors appointed Dr. Quinton Hennigh as a director of the Company, effective September 14, 2020.  Dr. Hennigh began his distinguished career in gold exploration after obtaining his PhD in Geology/Geochemistry from the Colorado School of Mines. He is Chairman and President of Novo Resources Corp, an emerging gold producer in Australia. His notable project involvements include First Mining Gold’s Springpole alkaline gold deposit in Ontario, Kirkland Lake Gold’s acquisition of the Fosterville gold mine in Australia, the Rattlesnake Hills alkaline gold deposit in Wyoming, and Lion One’s Tuvatu alkaline gold project on Fiji, among others.  

Dr. Hennigh is not related by blood or marriage to any of the Company’s directors or executive officers or any persons nominated by the Company to become directors or executive officers.

 

To the Company’s knowledge, there is no arrangement or understanding between any of its officers and directors and Dr. Hennigh to which he was selected to serve as director.

On September 15, 2020, the Company issued a press release entitled “Timberline welcomes Dr. Quinton Hennigh to Board of Directors and announces Eureka Drilling and Exploration Update”.
