Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On March 2, 2019, Mr. Stephen Zacharias voluntarily resigned from the Board of Directors of TheStreet, Inc. (the “Company”), effective immediately. There were no disagreements between Mr. Zacharias and the Company or any officer or director of the Company which led to Mr. Zacharias’ resignation. Mr. Zacharias served on the Board of Directors since June 2015. With the resignation, Mr. Zacharias also resigned from his role as a member of the Audit Committee and as Chair of the Compensation Committee.
