The annual meeting of stockholders (the 2017 Annual Meeting) of
The Providence Service Corporation (the Company) was held on June
15, 2017 for the following purposes:

To elect three Class 2 directorseach to serve for a
three-year term until the Companys2020 annual meeting of
stockholders or until his or her successor has been duly
elected and qualified. The nominees for director were
