Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.

On June13, 2017, The India Fund, Inc. (the Fund) issued a press
release, the text of which is attached hereto as Exhibit 99.1,
announcing that Stephane R.F. Henry will not stand for
re-election as a Director at the forthcoming Annual Meeting of
Stockholders. Additionally, J. Marc Hardy has decided to resign
as a ClassIII Director of the Fund effective as of the Annual
Meeting of Stockholders of the Fund, currently scheduled for
June21, 2017.

The information disclosed under this Item5.02, including Exhibit
99.1, shall not be deemed to be filed for purposes of Section18
of the Securities Exchange Act of 1934, as amended, or otherwise
