Item 5.07Submission of Matters to a Vote of Security Holders.

The Hanover Insurance Group, Inc. (the Company) held its annual
meeting of shareholders on May16, 2017. At that meeting, the
Companys shareholders elected (i) Michael P. Angelini to serve as
a director until the 2018 annual meeting of shareholders and
until his successor is duly elected and qualified; and (ii) Jane
D. Carlin, Daniel T. Henry and Wendell J. Knox to serve as
directors until the 2020 annual meeting of shareholders and until
their successors are duly elected and qualified. At the annual
meeting, the Companys shareholders also (1) approved an advisory
vote on executive compensation, (2) recommended that future
shareholder advisory votes on executive compensation be held
annually, and (3) ratified the appointment of
PricewaterhouseCoopers LLP as the Companys independent registered
public accounting firm for 2017.
