Item 2.01.

Completion of Acquisition or Disposition of Assets.

On January 28, 2019, Tenet Healthcare Corporation (the “Company”) completed the previously announced sale of its three Chicago area acute care hospitals, Louis A. Weiss Memorial Hospital in Chicago, Westlake Hospital in Melrose Park and West Suburban Medical Center in Oak Park, and other hospital-affiliated operations in the Chicago area, including physician practices (the “Divested Assets”). SRC Hospital Investments II, LLC, an affiliate of Pipeline Health LLC, purchased the Divested Assets for a base purchase price of $70million, which is subject to customary purchase price adjustments and included a $10million secured promissory note and $10million escrow deposit (the “Transaction”). The Company classified these hospitals as Held for Sale in December 2017 and suspended depreciation at that time.

Unaudited pro forma financial information relating to the Transaction is furnished in Item 2.01 of this Current Report on Form 8-K.

On January 29, 2019, the Company issued a press release announcing the completion of the Transaction.The press release is furnished as Exhibit 99.2 hereto.

The Company’s Unaudited Pro Forma Condensed Balance Sheet as of September 30, 2018 and Unaudited Pro Forma Condensed Statement of Operations for the year ended December 31, 2017 and the nine months ended September30,2018 (collectively, the “Unaudited Pro Forma Financial Statements”) are furnished as Exhibit 99.1 hereto and are based on the Company’s historical consolidated results of operations and financial position, adjusted to give effect to the Transaction. The Unaudited Pro Forma Condensed Balance Sheet as of September30,2018 has been prepared to present the Company’s financial condition as if the Transaction had occurred on September30,2018. The Unaudited Pro Forma Condensed Statements of Operations for the year ended December31, 2017 and the nine months ended September30,2018 have been prepared to present the Company’s results of operations as if the Transaction had occurred on January1,2017.

The Unaudited Pro Forma Financial Statements and the accompanying notes should be read together with the Company’s audited consolidated financial statements and accompanying notes as of and for the year ended December 31, 2017, and Management’s Discussion and Analysis of Financial Condition and Results of Operations included in the Company’s Annual Report on Form 10-K for the year ended December 31, 2017 and Quarterly Report on Form 10-Q for the nine months ended September30,2018.
