Item 8.01.                Other Events.

In connection with the transaction (the “Transaction”) contemplated by the previously announced Agreement and Plan of Merger, dated as of April 27, 2017, by and among Tangoe, Inc. (the “Company”), Asentinel, LLC and TAMS Inc. (the “Merger Agreement”), the U.S. Federal Trade Commission on May 16, 2017 granted early termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the “HSR Act”), effective immediately.

The early termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Transaction. The consummation of the Transaction remains subject to the remaining closing conditions set forth in the Merger Agreement.
