State Street Corporation (NYSE:STT) Files An 8-K Regulation FD Disclosure
On March 27, 2017, State Street Corporation (“State Street”) entered into a series of definitive agreements with DST Systems, Inc. (“DST”) and its affiliates providing for, among other things, the acquisition by affiliates of DST of State Street’s interests in the parties’ joint ventures, Boston Financial Data Services, Inc. (“BFDS”) and International Financial Data Services Limited (“IFDS Ltd”). BFDS provides shareholder recordkeeping, intermediary and investor services, and regulatory compliance solutions to financial services clients in the United States, and IFDS Ltd is an investor and policy holder administrative services and technology provider to the collective funds, insurance and retirement industries. DST and State Street will continue to service offshore and cross-border markets in Canada, Ireland and Luxembourg through the 50/50 joint venture, International Financial Data Services, L.P. The sale of IFDS Ltd was completed today. Completion of the BFDS transaction is expected to occur within the next several days, subject to satisfaction of customary closing conditions.
State Street will exchange its interest in BFDS, in a non-taxable transaction for U.S. federal income tax purposes, for approximately 2.0 million shares of State Street common stock, valued at approximately $158 million, that are owned by a wholly-owned subsidiary of DST. This acquisition of common stock will be treated as part of State Street’s $1.4 billion common stock purchase program previously announced in July 2016. State Street sold its interest in IFDS Ltd and related assets for cash consideration of approximately $175 million. State Street anticipates these dispositions will result in a one-time after-tax gain, in the aggregate, of approximately $45 million.
State Street accounted for the BFDS and IFDS Ltd joint ventures under the equity method of accounting by recording investment in both joint ventures in other assets on State Street’s consolidated balance sheet and the recognition of quarterly earnings/losses within the processing fees and other revenue on State Street’s consolidated income statement. The disposition of State Street’s interests in the BFDS and IFDS Ltd joint ventures is not expected to have a material impact to revenue in any of the remaining quarters of 2017.
