Item 5.07 Submission of Matters to a Vote of Security Holders

Spring Bank Pharmaceuticals, Inc. (the Company) held its Annual
Meeting of Stockholders on June 15, 2017. The following is a
summary of the matters voted on at that meeting.

a)	The stockholders of the Company elected David Arkowitz and Kurt Eichler as class II directors, each to serve for a three-year term expiring at the 2020 annual meeting of stockholders. The results of the stockholders vote with respect to the election of the class II directors were as follows:

Spring Bank Pharmaceuticals, Inc. is a clinical-stage biopharmaceutical company.
