Entry into a Material Definitive Agreement.
Item 3.01 Material Modification to Rights of Security
Holders.

As previously reported on a Current Report on Form 8-K/A filed on
October 21, 2013, effective January 1, 2013, Spherix Incorporated
(the Company) entered into a Rights Agreement (the Rights
Agreement) Equity Stock Transfer, LLC, as rights agent (the
Rights Agent). Effective July 15, 2016 and as reported on a
Current Report on Form 8-K filed on June 21, 2016, the Company
replaced Equity Stock Transfer, LLC with Transfer Online Inc as
Rights Agent.

On June 9, 2017, the Company and Transfer Online Inc. amended and
restated the Rights Agreement to extend the expiration date of
the rights contained therein from December 31, 2017 to December
31, 2020 (the AR Rights Agreement).

The foregoing description of the AR Rights Agreement does not
purport to be complete and is qualified in its entirety by
reference to such agreement, which is filed as Exhibit 4.1 hereto
and incorporated herein by reference.
