Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers

On March 15, 2017, Smart Sand, Inc. (the Company) determined and
paid the final award amounts of the 2016 annual bonuses for
Messrs. Young, Beckelman and Kiszka, the Companys named executive
officers, based on final Company performance for 2016, as
approved by the Companys board of directors. The named executive
officers other compensation for 2016, including approximately 75%
of the named executive officers expected 2016 bonus awards, was
previously reported by the Company in the Summary Compensation
Table for 2016 included in the Companys prospectus, dated
February 1, 2017 (the Prospectus), filed with the Securities
Exchange Commission under Rule 424(b) of the Securities Act of
1933, as amended, relating to the Companys registration statement
on Form S-1, as amended (Registration No. 333-215554). As of the
date of the Prospectus, the named executive officers had been
paid approximately 75% of their expected 2016 bonus awards and
the remainder of such awards had not yet been determined and,
therefore, were not included in the Summary Compensation Table
for 2016. to item 5.02(f) of Form 8-K, below is a revised Summary
Compensation Table for 2016, which includes the full amount of
the bonuses paid to the named executives officers and revised
total compensation figures for 2016.

results. Amounts shown also include (i) for Mr. Young, a
one-time bonus of $125,000 paid in connection with the
full redemption of our Series A Preferred Stock and (ii)
for Mr. Beckelman, a one-time bonus of $300,000 paid in
November 2016 following the consummation of our initial
public offering.

Smart Sand, Inc. is a producer of Northern White raw frac sand. The Company sells its products primarily to oil and natural gas exploration and production companies, and oilfield service companies. The Company owns and operates a raw frac sand mine and related processing facility near Oakdale, Wisconsin, at which it has approximately 244 million tons of proven recoverable sand reserves and approximately 92 million tons of probable recoverable sand reserves as of December 31, 2015, respectively. Its Oakdale facility is situated on approximately 1,196 contiguous acres, with on-site processing and rail loading facilities. Its integrated Oakdale facility, with on-site rail infrastructure and wet and dry sand processing facilities, is served by two Class I rail lines. In addition to the Oakdale facility, it owns a second property in Jackson County, Wisconsin, which it calls the Hixton site. Its Hixton site consists of approximately 959 acres in Jackson County, Wisconsin.
