Entry into a Material Definitive Agreement.
On June 21, 2017, Six Flags Entertainment Corporation amended its
existing senior secured credit facility (the “Amendment”) to (i)
reduce the interest rate on the remaining borrowings under its
Term Loan B from LIBOR plus 2.25 percent to LIBOR plus 2.00
percent, (ii) renew the 1.00% prepayment premium applicable,
under certain circumstances, to the Term Loan B to six months
from the effective date of the Amendment, and (iii) waive certain
provisions of the existing credit facility with respect to
specified guarantee and collateral related requirements as set
forth therein. The foregoing description of the Amendment is
qualified in its entirety by reference to the complete text of
the Amendment filed as Exhibit 10.1 and incorporated herein by
reference.

Six Flags Entertainment Corporation (Six Flags) is a regional theme park operator. The Company operates in the theme parks segment.
