On December 12, 2016, Ms. Alesia J. Haas, a director of Sears Holdings Corporation (the “Company”), informed the Company that she will be resigning as a director, effective December 13, 2016, as a result of her appointment as Chief Financial Officer of Och-Ziff Capital Management Group, a global institutional alternative asset manager.
