On November 16, 2016, Sanchez Energy Corporation (“SN”) committed to purchase $25 million of common units of Sanchez Production Partners LP (the “Partnership”) in a private placement exempt from registration under the Securities Act of 1933, as amended, at a purchase price to be determined by a pricing committee of the board of directors of the general partner of the Partnership (the “Board”). The Board and the conflicts committee of the Board approved the issuance of such common units to a purchase agreement to be negotiated and finalized between the Partnership and SN.
