(d) On January 22, 2019, the Board of Directors of RPC, Inc. (the “Company”) appointed Pamela R. Rollins as a Class III Director. Ms. Rollins will stand for election by the stockholders in 2019 with a term expiring in 2022. Ms. Rollins has not been appointed to any committee of the Board of Directors and will be compensated on the same basis as the other non-employee directors. There are no transactions between Ms. Rollins and the Company that would be reportable under Item 404(a) of Regulation S-K, and no arrangements or understandings with any persons to which she was selected as a director. Ms. Rollins is the daughter of the Chairman of the Company, R. Randall Rollins.
