to the previously disclosed Annual Executive Incentive Program (the “Incentive Program”) of Regal Entertainment Group (the “Company”), and based upon the attainment of performance targets previously established by the Compensation Committee of the Board of Directors of the Company (the “Committee”) under the Incentive Program, on January10, 2018, the Company approved annual cash bonus awards for the following individuals as set forth below:

Based on its review of the performance of the Company, on January10, 2018, the Committee recommended, and the Board of Directors of the Company approved, an increase in the base salaries for fiscal 2018 for the following individuals as set forth below:

In addition, on January10, 2018, at the recommendation of the Committee’s compensation consultant, Pay Governance, the Committee recommended, and the Board of Directors of the Company approved, an increase in the target annual cash bonus percentage for Ms.Miles from 50% of base salary to 125% of base salary for fiscal 2018. The target annual cash bonus percentages for the Company’s other named executive officers remain unchanged from fiscal 2017.

It develops, acquires and operates multi-screen theatres in mid-sized metropolitan markets and suburban growth areas of metropolitan markets throughout the United States.
