On June 1, 2017, to a Stock Purchase Agreement by and among Red Hat Limited, an Irish limited liability company, Red Hat, Inc., a Delaware corporation, Codenvy S.A., a Luxembourg public limited liability company (“Codenvy”), all of the shareholders of Codenvy, and Tyler Jewell, as representative of the Codenvy shareholders, Red Hat Limited completed its previously announced acquisition of all of the issued and outstanding shares of Codenvy.
