On July 7th, 2017, Quest Solution, Inc. (the “Company”) and Mr. Tom Miller entered into a Resignation Agreement providing for the terms of Mr. Miller’s resignation (the “Resignation Agreement”).
The Resignation Agreement provides for mutual releases and certain indemnification of Mr. Miller concerning his outstanding letter of credit. It is expected that Mr. Miller will also transition into a role as an advisor to the Company subject to a final agreement being reached between Mr. Miller and the Company, but until such an agreement is reached, Mr. Miller will not have any role with the Company.
The foregoing description of the terms of the Resignation Agreement is not complete and is qualified in its entirety by reference to the full text of the Resignation Agreement, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference herein.
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 7th, 2017, Mr. Miller resigned from the Board of Directors and from his role as Chairman of the Board and Shai Lustgarten was appointed as the Chairman of the Board.
