b. On February 20, 2017, John B. Ziegler informed Quest Diagnostics Incorporated (the “Company”) of his decision to not seek re-election to the Company’s Board of Directors (the “Board”) at the Company’s Annual Meeting of Stockholders to be held May 16, 2017 (the “2017 Annual Stockholders Meeting”), and to retire from the Board effective as of the date of the 2017 Annual Stockholders Meeting, when his current term as a director expires.
In connection with the retirement of Mr. Ziegler, the Board approved a reduction in the size of the Board, from 10 directors to 9, effective at the 2017 Annual Stockholders Meeting.
