Approval of Amendment to Long-Term Incentive Plan at Annual
Meeting
At the annual meeting of stockholders (the Annual Meeting) of
Quantum Corporation (the Company) held on March 31, 2017, the
stockholders of the Company approved and ratified an amendment to
the Companys Employee Stock Purchase Plan (the Plan) to increase
the number of shares of Common Stock available for issuance under
the Plan by 6,500,000 shares.
The terms and conditions of the Plan are described in the
Companys definitive proxy statement, filed with the Securities
and Exchange Commission on March 6, 2017. The Plan is filed as
Exhibit 10.1 hereto and is incorporated by reference herein.
Item 5.07. Submission of Matters to a Vote of Security Holders.
The following is a brief description of each matter submitted to
a vote at the Annual Meeting held on March 31, 2017, as well as
the number of votes with respect to each matter. For more
information about these proposals, please refer to the Companys
Proxy Statement filed with the Securities and Exchange Commission
