(d)On June 21, 2018, the Board of Directors of the Company appointed Joseph B. Reilly to the Board of Directors of Provident Bancorp, Inc. (the “Company”). It has not been determined which committees of the Board of Directors, if any, Mr. Reilly will be appointed to.

There are no arrangements or understandings between Mr. Reilly and any other person to which he became a director. Mr. Reilly is not a party to any transaction with the Company or The Provident Bank that would require disclosure under Item 404(a) of Securities and Exchange Commission Regulation S-K.
