PROS Holdings, Inc. (NYSE:PRO) Files An 8-K Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 15, 2019, the Compensation and Leadership Development Committee (Committee) of the Board of Directors of PROS Holdings, Inc. (the Company) approved a form of performance restricted stock unit agreement (PRSU Agreement) under the Companys 2017 Equity Incentive Plan (the “Plan”).

The performance restricted stock units (“PRSUs”) granted to the PRSU Agreement are payable in shares of the Companys common stock, and vest at up to 200% of the grant amount on the third anniversary of the grant based upon achievement of certain performance metrics set by the Committee over a two-year performance period. The number of earned units vesting upon a change of control occurring during the performance period is determined based on when such change of control occurs.
