On June 12, 2017, the board of directors of Pershing Gold Corporation (the “Company”) scheduled the Company’s 2017 annual meeting of stockholders for November 9, 2017 (the “Annual Meeting”) and established the close of business on September 13, 2017 as the record date for determining stockholders entitled to receive notice of and to vote at the Annual Meeting.
Since the date of the Annual Meeting has been changed by more than 30 calendar days from the anniversary date of the 2016 annual meeting of stockholders, the Company has undertaken, to Rule 14a-5(f) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), to provide shareholders with an updated deadline for submitting any qualified stockholder proposal or qualified stockholder nominations.
In accordance with Rule 14a-5(f) and Rule 14a-8(e) under the Exchange Act, notice by a stockholder of any qualified stockholder proposal or qualified stockholder nominations must be received by the Company at its principal executive offices at 1658 Cole Boulevard, Building 6, Suite 210, Lakewood, Colorado, and directed to the attention of the Corporate Secretary, by August 15, 2017 in order to be considered for inclusion in the Company’s proxy statement and form of proxy for the Annual Meeting. Such stockholder proposals or nominations must conform to the rules and regulations promulgated by the Securities and Exchange Commission. Any such notice received after the close of business on August 15, 2017 will be considered untimely and not properly brought before the Annual Meeting.
