On March 23, 2017,  Pamela A. Joseph notified Paychex, Inc. (the “Company”) of her resignation from the Company’s Board of Directors (the “Board”).  Ms. Joseph has been a member of the Board since 2005 and has served on both the Audit and Executive Committees.  Ms. Joseph’s resignation is not due to any disagreement with the Company regarding any matter related to the Company’s operations, policies, or practices. 

The Company is currently searching for a replacement director to serve until the Company’s 2017 Annual Meeting of Stockholders or until a successor is duly elected and qualified.
