("tZERO") plans to release a Supplement dated May 22, 2018 (the “Supplement”) to its Confidential Private Placement Offering Memorandum, as Amended, Supplemented and Restated as of March1, 2018 (the “Offering Memorandum”). A copy of the Supplement is furnished as Exhibit99.1.
The Supplement is furnished herewith solely for the purpose of ensuring compliance with Regulation FD.
