On December 13, 2018, the Company issued a press release announcing entry into a Stock Purchase Agreement with Rack Holdings L.P. and Rack Holdings, Inc. to which One Madison will acquire all of the issued and outstanding equity interests of Rack Holdings, Inc., on the terms and subject to the conditions set forth in the Stock Purchase Agreement. The transactions set forth in the Stock Purchase Agreement will result in a “Business Combination” involving the Company for purposes of the Company’s Amended & Restated Articles of Incorporation. A copy of the press release is furnished as Exhibit 99.1 and incorporated by reference herein.

The Company has prepared an investor presentation for use in connection with the Business Combination. A copy of the investor presentation is furnished as Exhibit 99.2 and incorporated by reference herein.
