On December 6, 2018 and effective that same date, the board of directors of NTN Buzztime, Inc. (the “Company”) approved an amendment to the Company’s bylaws to add a forum selection provision providing that the sole and exclusive forum for certain proceedings relating to the Company will be a state court within the State of Delaware (or, if no state court located within the State of Delaware has jurisdiction, the federal district court for the District of Delaware).
