(d)Election of Director
On September 24, 2017, the Board of Directors (the “Board”) of Novan, Inc. (the “Company”) appointed Machelle Sanders to the Board, effective immediately. The Board has not yet determined the committees on which Ms. Sanders will serve. There is no arrangement or understanding with any person to which Ms. Sanders was appointed as a director. Ms. Sanders will receive compensation for her service as director in accordance with the Company’s non-employee director compensation policy, which is filed as Exhibit 10.4 to the Company’s Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on August 11, 2017 and is incorporated herein by reference.
In connection with her appointment to the Board, Ms. Sanders is expected to enter into the Company’s standard form of indemnification agreement, a copy of which is filed as Exhibit 10.1 to the Company’s Registration Statement on Form S-1 filed on August 24, 2016 and is incorporated herein by reference.
