As previously reported in the Form 8-K, in a non-binding advisory vote on the frequency of future say on pay votes held at the 2017 Annual Meeting, 15,680,523 shares voted for every year, 175,613 shares voted for every two years, 4,077,072 shares voted for every three years, 200,954 shares abstained and there were 5,271,938 broker non-votes. On July 27, 2017, the Company’s Board of Directors considered the outcome of this advisory vote and determined, consistent with the Board of Director’s recommendation with respect to this proposal in the proxy statement for the 2017 Annual Meeting, that the Company will hold future say on pay votes on an annual basis until the occurrence of the next advisory vote on the frequency of say on pay votes. The next advisory vote regarding the frequency of say on pay votes is required to occur no later than the Company's 2023 Annual Meeting of Shareholders.
