Item7.01 Regulation FD Disclosure.
On November28, 2016, Northrop Grumman Corporation (the Company)
issued a press release announcing that it had priced a $750
million underwritten public offering of 3.20% senior unsecured
notes due 2027. The Company also announced that its wholly owned
subsidiary, Northrop Grumman Systems Corporation, will redeem for
cash all of its outstanding 6.75% Senior Notes due April 2018 on
December 28, 2016. A copy of the press release is filed as
Exhibit99.1 hereto and the press release is incorporated herein
by reference.
