Item 2.02 Results of Operations and Financial Condition.

On February 2, 2017, National Fuel Gas Company (the Company)
issued a press release regarding its earnings for the quarter
ended December 31, 2016. A copy of the press release is furnished
as part of this Current Report as Exhibit 99.
