Submission of Matters to a Vote of Security
Holders.

MSCI Inc. (the Company) held its annual meeting of stockholders
on May11, 2017 (the Annual Meeting) as a virtual meeting. The
issued and outstanding shares of the Companys common stock, $0.01
par value per share, entitled to vote at the Annual Meeting
consisted of 90,513,850 shares, each share being entitled to one
vote. The following is a summary of the voting results for each
matter presented to the stockholders:

(a) Proposal 1 – Election of members of the Companys Board of
Directors.

On March20, 2017, the Board determined that, contingent upon a
vote of every year by a majority of the stockholders at the
Annual Meeting, the Company will hold an advisory vote to approve
the Companys executive compensation every year until the next
vote on frequency, which shall be no later than the Companys
annual meeting of stockholders in 2023. Based on the voting
results of Proposal 3, the Company will hold future advisory
votes to approve the Companys executive compensation every year
until the occurrence of the next advisory vote on the frequency
of future advisory votes to approve the Companys executive
compensation at the Companys annual meeting of stockholders in
2023.

(d) Proposal 4 Ratification of the appointment of
PricewaterhouseCoopers LLP as the Companys independent
auditor for fiscal year 2017.
