OTHER EVENTS.

On May16, 2017, The Bank of New York Mellon Corporation (the
Company) issued $750,000,000 aggregate principal amount of its
3.250% Senior Medium-Term Notes Series J due 2027 (the 10-year
Senior Notes) and $1,000,000,000 aggregate principal amount of
its 2.661% Fixed Rate/Floating Rate Callable Senior Medium-Term
Notes Series J due 2023 (the 6-year Senior Notes and, together
with the 10-year Senior Notes, the Notes). The Notes were
registered under the Securities Act of 1933, as amended, to a
registration statement on Form S-3 (File No.333-209450). In
connection with this issuance, the legal opinion as to the
legality of the Notes is being filed as Exhibit 5.1 to this
report.
