Item 8.01: Other Events.
On February10, 2017, Mead Johnson Nutrition Company (Mead Johnson
or the Company) issued a news release announcing the execution of
an Agreement and Plan of Merger (the Merger Agreement), to which,
among other things and subject to the satisfaction or waiver of
specified conditions, Reckitt Benckiser Group plc agreed to
acquire the Company in an all cash transaction. A copy of the
news release announcing the signing of the Merger Agreement is
attached hereto as Exhibit99.1 and is incorporated herein by
reference.
