Regulation FD Disclosure

On December15, 2017, Mattel, Inc. (“Mattel” or the “Company”) issued a press release announcing that it priced its offering of $1,000,000,000 aggregate principal amount of 6.750% Senior Notes due 2025 in a private offering (the “Offering”). The closing of the Offering is expected to occur on December20, 2017, subject to customary closing conditions. A copy of the press release is furnished as Exhibit 99.1 hereto. This exhibit is incorporated herein by reference. The notes are being sold in a private placement to qualified institutional buyers to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons outside the United States under Regulation S under the Securities Act.
